Explanation:

Given Exp. #=12x^2+4xy+9x+3y#

We notice that #4x# is common in first & second term, so, taking that common , we are left with #(3x+y)#.

Similarly, from third & fourth term, we can take #3# common, then there remains #(3x+y).#

This way, in turn, we'll have (3x+y) as a common factor. So, the

#=(3x+y)(4x+3).#
