In Eukaryotes it occurs in inner membrane of mitochondria while in prokaryotes it occurs in cell plasma membrane.

Explanation:

Electron transport chain produces most of ATP. (34) In Eukaryotes ETC occurs in inner membrane of mitochondria. But prokaryotes doesn't have mitochondria which is a membranes bound organelle. The only membrane prokaryotes have is their plasma membrane. So ETC occurs in there.
